General Terms and Conditions for Participation in Meetings, Seminars, Conferences and Exhibitions from EW Medien und Kongresse GmbH (hereinafter “EW Medien und Kongresse”)

1. Contract Design and Scope of Application

Contracts on the participation in meetings, congresses and seminars shall be subject to the provisions in the registration form and the following terms and conditions.

A contract on the participation in an event shall only be entered into after the registration has been confirmed in writing. This shall not include personal registrations at the event. The registration shall be deemed a contract at receipt by an employee. Written confirmation shall not be required.

Modifications of and/or supplements to the contract shall require written form. Oral agreements shall only apply if confirmed in writing.

2. Cancellation of Events

EW Medien und Kongresse shall have the right to cancel an event for economic reasons. In this case, it shall reimburse any participation fees already paid. There shall be no further claims.

3. Changes in the Course of the Event

EW Medien und Kongresse reserves the right to replace or remove individual lectures of a meeting. Such changes shall not found any right to reimbursement of the participation fee or parts of the participation fee or other expenses.

4. Rejection of Registration

EW Medien und Kongresse may reject a registration for a meeting without stating any reasons.

5. Usage Rights

Lectures and event documents are protected under copyright law. Usage rights shall only be transferred if the granting of usage rights has been agreed on expressly in writing.
The participants shall not have the right to copy licensed material provided to them for training purposes or to make it accessible for third parties. Licensed materials shall be data processing programs and/or licensed data inventories (data bases) in machine-readable form, including the associated documentation.

Photos and films recorded during the event shall be published in the scope of articles in EW Medien und Kongresse-publications, in publications of the respective event organisers, in other journals and magazines as well as online.

6. Liability

Except in case of essential obligations from the contractual relationship ("Cardinal Obligations"), EW Medien und Kongresse shall only be liable for itself and its servants for damage verifiably due to wilful or grossly negligent violation of obligations in the scope of the contract and that are still within the foreseeable scope as typical damage.

EW Medien und Kongresse shall not be liable for consequential damage due to defective contents of the lectures and seminars and the seminar documents (e.g. regarding accuracy and completeness.

7. Cancellation and Change

In case of cancellation of the registration up to the 14th calendar day before the start of the event, EW Medien und Kongresse shall reimburse the entire participation fee. In case of cancellations from the 13th calendar day before the event onwards, EW Medien und Kongresse shall reimburse 50 % of the participation fee. For cancellations starting on the 7th calendar day before start of the event, the full participation fee shall be due. Cancellation must be declared in writing.
A participant may be replaced by another person from the same company.

8. Participant List and Picture and Sound Recordings

EW Medien und Kongresse commits to treating the data provided by the participants confidentially. We use the data collected in the scope of registration within the applicable legal limits for the purpose of execution of our services. The participants will appear on the participant list of the booked event with their names, function in the company, company and location. EW Medien und Kongresse shall have the right but not the obligation to record the event audiovisually. The participant agrees to be filmed and/or photographed in the scope of the event and that such picture or sound records may be distributed and publicly presented in all known media, including the internet.

Data privacy note on the BDEW congress 2016:

Your data will be collected, processed and used for the purpose of organisation, advertising and execution as well as reporting around the BDEW Congress. The congress documents will contain a participant list with indication of names, first names, titles, functions and companies, which can be called password-protectedly during the event and online on site. Photos and films recorded during the event shall be published in the scope of reports in BDEW- and EW Medien und Kongresse-publications, in other journals and magazines as well as online.

9. Final Provisions

If individual provisions of the contract are wholly or partially invalid or if there is any gap in the contract, the validity of the remaining provisions or parts of such provisions shall not be affected. The invalid or missing provisions shall be replaced by the respective statutory provisions.

General Contract Conditions for Presenter and Lecturer Work for EW Medien und Kongresse GmbH (hereinafter: "EW Medien und Kongresse")


1. Legal Nature of the Contract

1.1 The presenter shall render his work as an independent entrepreneur or freelancer. EW Medien und Kongresse and the presenter do not enter into any employment relationship.

1.2 The presenter shall be solely responsible for the proper payment of taxes and insurances.

2. Services of the Presenter, Usage Rights

2.1 The presenter shall design his events in the scope of the subject specified by EW Medien und Kongresse under consideration of the latest state of the art and the laws.

2.2 The presenter shall draw up working materials and shall transfer the exclusive usage rights in these for the event and for creating documentation for the event in all known media (e.g. print version, online distribution, distribution on CD-ROM and as a digital meeting document, etc.) to EW Medien und Kongresse.

2.3 The presenter represents that he has the right to use all working materials used by him. He shall release EW Medien und Kongresse from any third-party claims based on violation of this obligation.

2.4 The presenter agrees that photos and videos taken during the event will be published in the scope of publications of EW Medien und Kongresse, in publications of the respective event organisers, in other journals and magazines, as well as online.

3. Presenter's Inability to Attend

3.1 If the presenter cannot perform the event in time (e.g. due to illness), he shall not have any claim to compensation.

3.2 He shall inform EW Medien und Kongresse of the fact that he cannot attend without delay after taking notice, and designate a replacement presenter if possible.

4. Non-Performance of the Event

4.1 EW Medien und Kongresse shall have the right not to perform the event if the required number of participants is not reached or for other economic or legal reasons.

4.2 In a case according to 4.1, the presenter shall not have any claim to payment of the compensation.

4.3 Or to reimbursement for expenses. EW Medien und Kongresse shall inform the presenter of cancellation of the event one week before the planned date at the latest.

5. Payment of Compensation

5.1 After the end of the event, the presenter shall invoice EW Medien und Kongresse the agreed compensation, if subject to taxes with separately indicated statutory VAT.

5.2 Travelling expenses and additional expenses for meals shall be reimbursed after the end of the event against submission of the original vouchers.

5.3 The expenses that the presenter incurs for creation of the concept, the meeting documents and execution of the presentation shall be included in the agreed compensation. If no fee is paid out, the costs shall be assumed by the presenter.

5.4 EW Medien und Kongresse shall settle any accepted invoices to the account specified by the presenter within 30 days of receipt of the invoice.

6. Secrecy

6.1 The presenter commits to keeping all internal processes at EW Medien und Kongresse that become known to him in the scope of the cooperation secret even beyond the time of cooperation.

7. Liability of EW

7.1 The presenter shall take care of his own insurance protection against illness, accidents, etc. EW Medien und Kongresse shall only be liable for damage to the presenter's property if EW Medien und Kongresse or its servants have caused them wilfully or by gross negligence.

8. Participant List and Picture and Sound Recordings

9.1 Oral agreements shall only apply if confirmed in writing by EW Medien und Kongresse.

9.2 If the presenter is a merchant, legal entity of public law or public-law special fund, Frankfurt is agreed to be the site of performance and place of jurisdiction.

9.3 If individual provisions of the contract are wholly or partially invalid or if there is any gap in the contract, the validity of the remaining provisions or parts of such provisions shall not be affected. The invalid or missing provisions shall be replaced by the respective statutory provisions.

9.4 For presenters who do not receive any fees, sections 1.2; 3.1; 4.2; 5.1 are not applicable.

General Terms and Conditions for Trade Fairs and Exhibitions of EW Medien and Kongresse GmbH (hereinafter: "EW")

 
1. Conclusion of the Contract, Approval

1.1. The legal relationship between the exhibitor and EW shall be essentially based on the following general conditions in conjunction with the registration form. Deviating agreements, individual permits and special provisions shall require written confirmation by EW. Confirmation by telefax or email shall also be deemed written confirmation.

1.2. The registration shall be sent to EW by the exhibitor in writing by letter, by fax or by email. It is a binding contractual offer to which the exhibitor is bound until approval or rejection by EW. The contract is entered into by submission of the approval by EW.

1.3. The exhibitor consents to his data being electronically saved for the purpose of execution of the contract and passed on to service partners of EW.

1.4. There shall be no legal claim to approval.

1.5. The approval refers solely to the registered exhibitor and the confirmed exhibition goods and services.

1.6. The approval may be revoked if it has been granted based on wrong or incomplete information, or because the prerequisites for approval are lost at a later time.

2. Place Assignment, Rent

2.1. EW shall provide the trade fair area in the registered offer area. Regarding size and position of the area, the exhibitor's wishes will be met as far as possible. The trade fair rent contact shall be deemed met even if EW does not assign the entire, but at least 50% of the ordered area. A smaller area assignment is deemed an offer and is subject to acceptance by the exhibitor.

2.2. Special wishes of the exhibitor (e.g. placement, neighbours, exclusion of competition, stand design, etc.) shall only be considered if they are expressly confirmed in writing in the approval.

2.3. If mandatory technical or organisational reasons require this, EW shall have the right to assign a stand in a different location to the exhibitor, deviating from the stand assignment, to change the size of the exhibition area, to relocate the entrances and exits to and from the trade fair premises or to close them.

2.4. Without the permission of EW, the provision of an assigned stand to third parties, wholly or in part, is not permitted.

3. Technical Services, Services

3.1. EW shall take care of general heating, cleaning and lighting of the trade fair halls and buildings.

3.2. Installation of supply and disposal connections must only be ordered via EW or the trade fair company charged by EW.

3.3. The costs for installation and consumption of water, electricity, compressed air and telecommunication connections of the individual stands, as well as any other services, shall be charged to the exhibitor separately. EW shall have the right to demand appropriate advance payments. Where consumption by the exhibitor is not specifically recorded, consumption may be estimated.

3.4. All installations shall be performed by specialist staff. The exhibitor shall be liable for the damage and consequential damage caused by the installations and their use.

4. Cleaning, waste disposal

EW shall take care of cleaning of the premises, the halls and the hallways. The exhibitor shall ensure cleaning of his stand and disposal of waste. Cleaning must be completed every day before the event starts. If cleaning and waste disposal are not performed properly, EW may charge a specialist company at the exhibitor's expense without setting a period.

5. Guarding

Exhibitor is obliged to guard his property on his own. EW shall not be liable for loss and/or damage to the exhibitor's property, unless EW caused the damage wilfully or by gross negligence.

6. Operation and Return of the Trade Fair Stands

6.1. The stand must meet the technical and statutory directives. Authority approvals and requirements, as well as building and operating-technical requirements of the trade fair company, must be procured and met by the exhibitor at his own expense. In case of violations, EW shall have the right to have changes performed at the exhibitor's expense or to block the stand.

6.2. The exhibitor shall be solely responsible for traffic safety at his stand, including all accesses.

6.3. During the opening times of the event, the stand must be made accessible to visitors. If the stand is not properly operated, EW may reduce the stand at the exhibitor's expense and assign the stand location otherwise. The exhibitor shall not have any claim to repayment of the stand fees unless he documents that EW was able to acquire a revenue from the other assignment of the stand area.

6.4. The stand setup and removal must be completed at the specified times. Setup and removal, as well as any other changes are not permitted if the event might be impaired by this. If stand setup and stand removal are not completed within the specified times, a contractual penalty at 10% of the rent plus VAT shall be payable in addition to the stand rent. This shall specifically apply to the removal of the stand before starting the official removal time on the last day of the event.

6.5. After the event, the place must be returned in the condition corresponding to the one before handover to the exhibitor. Damage or dirt caused by the exhibitor may be removed at his expense without setting a grace period.

7. Advertising, Press, Specialist Lectures

7.1. Advertisements within the stand are permitted. Outside of the trade fair stand - in particular on wall areas, in stairwells and in the hallways of the trade fair halls - advertisements are only permitted in coordination with EW against a fee.

7.2. Advertisements for third parties, as well as advertisements that contain comparisons with the goods of other exhibitors, are not permitted. EW shall have the right to forbid the issuing or presentation of advertising media that may give reason for complaint and to secure the present stocks of such materials for the duration of the exhibition.

7.3. Photography, video and film recordings of the trade fair objects shall be permitted as far as the respective exhibitor permits this. EW shall have the right to record pictures, film and video as well as to produce drawings of the event, the stands and the exhibited goods or to have this done by the press, and to use them free of charge for advertising purposes of general press publications.

7.4. The organiser shall have the right to limit or forbid presentations that may cause danger or considerable impairment of the organisation operation.

8. Due Date of the Payment, Withdrawal

8.1. The agreed fees (stand rent, prepayments for secondary costs, advertising contributions, etc.) shall be due at receipt of the invoice.

8.2. EW shall have the right to demand advance payment for the agreed fees. If the exhibitor does not pay on the specified payment date, EW may exclude him from participation in the trade fair. The obligation of payment of the agreed fees shall not be affected by this.

8.3. After the approval, the exhibitor shall not have the right to withdraw from the contract or reduce the stand area. If the exhibitor does not show up, EW shall have the right, but not the obligation, to assign the exhibition area otherwise. If EW is able to assign it otherwise or the exhibitor provides a replacement tenant acceptable for EW, the revenue shall be set off against the stand rent.

8.4. If EW has to cancel the event, delay it or shorten it or reduce the exhibition area or temporarily close the event due to force majeure, or for other reasons for which EW is not at fault or due to a too-small number of registrations so that a successful event cannot be ensured according to the assessment of EW, the exhibitor shall receive a complete or prorated reimbursement for the exhibitors fee. There are no further claims.

9. Release from the Contract

9.1. If the organiser grants release from the contract in exceptions after binding sign-up or approval, 25 % of the compensation shall be payable as cost compensation, along with any costs already resulted from orders already placed upon the initiation of the exhibitor. In the specific case, the exhibitor is expressly granted the right to prove that the organiser did not incur any or incurred a lower damage. If the exhibitor cancels more than 6 weeks before the specified start of the event, 50 % of the compensation shall be charged as cost contribution. If cancellation is submitted in the last 6 weeks before the start of the event, the cost contribution shall increase to 100 %.

9.2. The application for release from the contract must be made in writing. It is only agreed on legally validly if the organiser also consents in writing. The organiser may make release from the contract conditional on the ability to assign the assigned stand area otherwise. The re-assignment of the stand area to another exhibitor will then correspond to release from the contract, but the initial exhibitor must bear the difference between the actual and the target compensation. If the stand area cannot be otherwise rented out, the organiser shall have the right to move another exhibitor to the stand that is not used in the interest of the overall appearance of the event, or to fill the stand otherwise. In this case, the released exhibitor shall not have any claim to reduction of compensation. The resulting costs for decoration or filling of an unused stand shall be at the expense of the released exhibitor.

10. Liability

10.1. EW shall not be liable for any damage to the introduced objects at the stand and its furnishings, as well as the exhibition goods, unless EW is verifiably at fault for wilful or grossly negligent conduct. The exhibitor is obliged to insure the stand appropriately.

10.2. EW shall be liable for property and asset damage for itself and its servants only in case of wilful intent or gross negligence.

11. Warranty

11.1. The exhibitor shall report possible defects of the services of EW in writing without delay and give EW an opportunity to improve them.

11.2. The exhibitor's claims from the exhibition contract and from all connected legal relationships shall expire within one year. The period shall commence at the end of the month of the last day of the exhibition. This does not apply to any claims against EW from the violation of life, body and health and for damages due to wilful or grossly negligent conduct.

12. Final Provisions

12.1. Oral agreements shall only apply if confirmed in writing by EW.

12.2. If the exhibitor is a merchant, legal entity of public law or public-law special fund, Frankfurt am Main is agreed to be the site of performance and place of jurisdiction.

Consequences of revocation

If you revoke this contract, we shall return all payments that we have received from you to you, including the delivery costs (except for the additional costs resulting because you have chosen another delivery method than the most cost-efficient standard delivery offered by us) without delay and at the latest within fourteen days from the day on which we have received your notification of the revocation of this contract. In absence of an express agreement with you to the contrary, we will use the same means of payment for this reimbursement that you used for the original transaction; in no case will any fees be charged to you for this repayment. We may refuse repayment until we have received the goods back or until you have rendered proof of having sent the goods back, depending on which comes earlier.

You must return or hand over the goods to us without delay and in any case at the latest within fourteen days from the day on which you inform us of the revocation of this contract. The period shall be complied with if you send the goods before the end of this period of fourteen days. You shall bear the direct costs for return of the goods. You must reimburse any value loss of the goods only if this value loss is due to any handling of them that is not required to review the property, characteristics and function of the goods.

 

2. Revocation Information at Separate Delivery
